Setting up a BV? These are the costs you can expect

Knowledge base

Setting up a BV in English with Firm24 costs €899 excl. VAT, but the costs can be higher if the deed or structure is complex. This amount covers the notary, the articles of association and the KVK registration for a BV (Besloten Vennootschap, a Dutch private limited company). After that, expect around €1,200 a year for administration, annual accounts and corporate income tax. Firm24 guides more than 7,500 entrepreneurs every year and helps them avoid unnecessary extra costs.

Costs of setting up a BV? These are the costs you can expect

When you set up a new BV, there are costs involved. Setting up a new BV costs from €899 excl. VAT, depending on your wishes and capacity. This amount includes all notarial costs. So you do not have to pay the notary again.

In addition to the notarial incorporation costs, including the notarial deed, you also pay the Chamber of Commerce (KVK) for the registration of your new BV. After the incorporation, you receive an invoice by post at the registered address of the BV. The KVK registration fee is €85.15 excl. VAT. You can include these costs as start-up costs in your BV's accounts and deduct them from the profit.

Can I get a discount when setting up a standard BV?

At Firm24, you can set up a standard BV (also called a flex BV) from €899 excl. VAT. Because the price is already very sharp, we cannot offer a volume discount. If you set up a holding at the same time as your BV, you do get a €25 discount. Around 73% of entrepreneurs choose this option. A holding really only has advantages, so it is certainly worth considering.

How fast can a BV be set up?

A BV can be set up within 5 working days after you complete the online application. In the meantime, the notary drafts the deed, and then you make an appointment with the notary to sign the power of attorney. You often visit the notary for this, but in some cases it can also be done by video call with a digital notarial deed. We understand that it is sometimes useful to have a BV set up faster. That is why we also offer a fast procedure and an urgent procedure.

How long does registration with the Chamber of Commerce take?

Once the notary has executed the deed of incorporation, the BV is formally established and is registered with the KVK. The KVK often processes the registration within half a working day. Are the articles of association of a BV submitted before 3 pm? Then the registration is often processed the same day. If the BV is submitted after 3 pm, the registration is completed before 1 pm on the next working day.

What do the different speeds cost?

You do not pay a surcharge for the standard term for setting up a BV. You can see the other options below:

Fast procedure

  • Incorporation of a BV in 3 working days
  • See the current price on our payment page.

Urgent procedure

  • Incorporation of a BV within 24 hours
  • Extra costs. See the current price on our payment page.

* Please note: for an urgent procedure, the notary depends on your cooperation because of the legal obligations a notary must comply with.

As an entrepreneur, you can't know everything. That's why you always get free advice from us.

Why do you state working days?

To set up a BV, you depend on the notary and the Chamber of Commerce. Both are only open on weekdays and, unlike Firm24, not at the weekend.

When do I qualify for the standard incorporation costs?

You qualify for the standard incorporation costs if you meet the following conditions:

  • You set up the BV as a natural person;
  • You speak Dutch;
  • You are registered in the Netherlands.

Do you not speak Dutch? Then you can set up your BV in English for €899 excl. VAT.

When does the price differ from the standard prices?

Depending on how your BV is set up, the costs may be higher than the standard price. This can be the case if the notary has to do extra research into the incorporation. Whether that is the case depends on certain factors, including:

  • The capacity of the shareholder.
  • The number of founders. (Do you want to set up the BV with several people? Then €95 excl. VAT is added per shareholder. From the fourth extra shareholder, €150 excl. VAT is added per shareholder.)
  • The language of the founder.
  • The founder's country of residence.
  • The extent to which the articles of association need to be tailor-made.

What is meant by “the capacity of the shareholder”?

You can hold the shares of your BV in different ways. For example, by setting up the BV with an existing (Dutch) holding BV. In this case, the notary has to look into this holding. Fortunately, the costs for this are only a few tens of euros.

What counts as tailor-made articles of association?

Firm24's articles of association are very extensive and also include an offer and blocking clause. But sometimes it is useful to have tailor-made articles of association, depending on the choice of certain shares or the activities the BV carries out. For example, you can add the following to the articles of association:

  • Letter shares (shares without profit rights or voting rights).
  • WTZa articles of association (Healthcare Providers Admission Act).
  • Medical articles of association.
  • Articles of association for lawyers.

Why do I pay a registration fee to the Chamber of Commerce?

The BV gets a place in the trade register and must therefore be registered in the trade register. The costs of this registration with the Chamber of Commerce are separate from the costs of setting up the BV. Firm24 sets up the BV, arranges the registration with the KVK and provides all incorporation documents.

This used to be an annual contribution, but it has been replaced by a one-off fee of €85.15 excl. VAT. Unfortunately, we cannot take these costs off your hands. The KVK sends the invoice directly to the company.

How much does a BV cost per year? (BV costs)

In addition to the incorporation costs, you will probably also have annual costs. These costs are not fixed and depend on your specific situation. They concern the administration of the BV.

Just like with a sole proprietorship, you file a VAT return every quarter, you get a payroll tax number from the Dutch Tax Administration (because you work for the BV as a director and major shareholder (DGA)), and you file annual accounts after the end of each year.

If you are good at bookkeeping yourself, your annual costs are low. However, entrepreneurs often choose to outsource their payroll administration and bookkeeping, or to use handy software.
